Service Agreement

Intellectual Property

Limitations & Liability

  • Liability is limited to the value of services provided

  • Force majeure events may affect service delivery timelines
Quality & Standards
  • All work performed according to industry best practices
  • Quality assurance processes ensure deliverable standards
  • Professional engineering standards and ethics are maintained
  • Continuous improvement processes enhance service quality
Payment Terms

Payment terms are established in individual service agreements and typically include:

  • • Initial retainer or down payment upon agreement execution
  • • Progress payments based on milestone completion
  • • Final payment upon project completion and acceptance
  • • Late payment fees may apply to overdue invoices
Confidentiality

SMIG Consulting maintains strict confidentiality regarding all client information:

  • • All proprietary and sensitive information is protected
  • • Non-disclosure agreements are executed for all engagements
  • • Information is only shared on a need-to-know basis within our team
  • • Client permission is required before any information disclosure
Termination

Either party may terminate services under the following conditions:

  • • Written notice as specified in the service agreement
  • • Payment for all work completed up to termination date
  • • Return of confidential materials and work product
  • • Survival of confidentiality and intellectual property provisions
Governing Law

These terms and conditions are governed by the laws of the State of Texas, United States. Any disputes arising from our services will be resolved through binding arbitration in Houston, Texas.
